Under § 5, a Massachusetts registered agent may be:

  • An individual resident of Massachusetts, at least 18 years old per state guidance
  • A domestic corporation
  • A foreign corporation authorized to do business in the Commonwealth

950 CMR 112.13 widens the entity category, permitting other domestic or foreign business entities authorized by law and qualified to do business in Massachusetts to hold the role. Whoever serves, the agent's name and address become part of the public record attached to your entity.

950 CMR 112.13 states that "The office address of the resident agent must be a street address." The regulation rules out post office boxes entirely. Practical availability matters as well: the agent should be reachable at that address during standard business hours, Monday through Friday, 9 to 5.
